Sidekick is an AI-powered personal assistant built and operated by Loops, Inc. ("Loops", "we", "us"). You can interact with Sidekick via SMS, iMessage, or the web app at sidekick.town. Sidekick uses large language models to help you manage tasks, connect to your favorite apps, and stay organized.

You must be at least 13 years old to use Sidekick. By using the service, you represent that you meet this requirement. If you are under 18, you represent that a parent or guardian has reviewed and agreed to these Terms on your behalf.

• You are responsible for maintaining the security of your account credentials.
• You must provide accurate information when registering and keep it up to date.
• You may not share your account with others or transfer it to another person.
• Notify us immediately at legal@loops.fi if you suspect unauthorized access to your account.

You agree not to use Sidekick to:

• Violate any applicable law or regulation.
• Harass, threaten, or harm other individuals.
• Generate, distribute, or solicit illegal content, including content that exploits minors.
• Attempt to reverse-engineer, scrape, or extract data from the service in an unauthorized manner.
• Circumvent rate limits, access controls, or billing systems.
• Impersonate any person or entity.
• Use the service to send spam or unsolicited commercial messages.
• Attempt to use Sidekick to generate harmful, deceptive, or malicious content, including malware or phishing material.

We reserve the right to suspend or terminate accounts that violate these guidelines, at our sole discretion, with or without notice.

Sidekick allows you to connect third-party services (e.g., Gmail, Google Calendar, Linear). When you connect a service, you authorize Sidekick to act on your behalf within that service, as directed by you. You are responsible for ensuring your use of those services complies with their respective terms. We are not responsible for the actions or content of third-party services.

Sidekick uses AI models that can make mistakes. AI-generated responses may be inaccurate, incomplete, or inappropriate. You should not rely on Sidekick for medical, legal, financial, or safety-critical decisions. Always verify important information independently.

Actions taken by Sidekick on connected services (sending emails, creating calendar events, etc.) are executed based on your instructions. You are responsible for reviewing these actions before directing Sidekick to perform them.

Sidekick is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components.

To the maximum extent permitted by law, Loops, Inc. and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use Sidekick — even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising from these Terms or your use of the service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100 USD.

You agree to defend, indemnify, and hold harmless Loops, Inc. and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of Sidekick, your violation of these Terms, or your violation of any third party's rights.

Either party may terminate this agreement at any time. You may close your account at any time from your settings page. We may suspend or terminate your access if you violate these Terms, fail to pay, or if we discontinue the service, with reasonable notice where practicable.

Upon termination, your right to use Sidekick ceases immediately. Sections that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and indemnification) will survive.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.

We may revise these Terms at any time. We will provide at least 7 days' notice of material changes via email or an in-app notification. Your continued use of Sidekick after the effective date of the revised Terms constitutes acceptance of those changes.
